1. Acceptance of Terms

By accessing and using RoseCore, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, you should not use our services.

2. Use License

Permission is granted to temporarily use RoseCore for personal or commercial purposes. This license does not include:

• Modifying or copying the materials
• Using the materials for any commercial purpose without written consent
• Attempting to reverse engineer any software
• Removing any copyright or proprietary notations

3. User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for:

• Maintaining the security of your account and password
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Subscription and Payment

Some features of our service require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your subscription
• Automatic renewal unless cancelled
• No refunds for partial subscription periods
• Price changes with 30 days notice

5. User Content

You retain ownership of any content you create or upload to our service. By using our service, you grant us a license to use, store, and process your content solely for the purpose of providing our services to you.

6. Prohibited Uses

You may not use our service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, or laws
• To infringe upon or violate our intellectual property rights or the rights of others
• To harass, abuse, insult, harm, defame, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code

7. Service Availability

We strive to provide continuous service availability but do not guarantee that our service will be available at all times. We reserve the right to modify, suspend, or discontinue any part of our service at any time with or without notice.

8. Intellectual Property

The service and its original content, features, and functionality are owned by RoseCore and are protected by international copyright, trademark, and other intellectual property laws.

9. Disclaimer

The information on this service is provided on an "as is" basis. To the fullest extent permitted by law, we exclude all representations, warranties, and conditions relating to our service and the use of this service.

10. Limitation of Liability

In no event shall RoseCore, nor its directors, employees, or agents, be liable to you for anything arising out of or in any way connected with your use of this service, whether such liability is under contract, tort, or otherwise.

11. Indemnification

You agree to indemnify and hold harmless RoseCore and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the service or violation of these terms.

12. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, for conduct that we believe violates these Terms and Conditions or is harmful to other users, us, or third parties.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new Terms and Conditions on this page and updating the "Last updated" date.

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law provisions.

15. Gmail Integration

By connecting your Gmail account to RoseCore, you authorize us to:

• Read incoming emails to display in your dashboard
• Create draft email responses using AI assistance
• Send emails on your behalf when you approve a draft

Revoking Access:

You may revoke Gmail access at any time through your RoseCore Settings or your Google Account permissions. Disconnecting Gmail will stop all email syncing but will not delete any emails from your Gmail account.

Prohibited Uses:

You agree not to use the Gmail integration for:

• Spam or unsolicited bulk emails
• Harassment or abusive communication
• Any purpose that violates Google's Terms of Service
• Any illegal activities

RoseCore reserves the right to disable your Gmail integration if we detect misuse or violation of these terms.

16. AI-Generated Content Disclaimer

RoseCore uses artificial intelligence to generate content including but not limited to email drafts, marketing copy, social media posts, and business recommendations. By using these AI features, you acknowledge and agree to the following:

No Professional Advice:

All AI-generated content is for informational and convenience purposes only. It does not constitute professional, legal, financial, or business advice. You should consult with qualified professionals before making any business decisions based on AI-generated content.

User Responsibility:

You are solely responsible for reviewing, editing, and approving any AI-generated content before use. RoseCore does not guarantee the accuracy, completeness, or suitability of any AI-generated content for your specific situation.

No Liability for AI Outputs:

You hold RoseCore, its owners, affiliates, and related entities harmless from any claims, damages, losses, or liabilities arising from your use of AI-generated content. This includes but is not limited to:

• Errors or inaccuracies in AI-generated content
• Business decisions made based on AI recommendations
• Customer communications sent using AI-generated drafts
• Marketing content that does not achieve desired results
• Any financial losses resulting from use of the service

Results Not Guaranteed:

RoseCore makes no guarantees regarding business outcomes, revenue increases, time savings, or any other results from using our AI features. Individual results vary based on many factors outside our control.

Independent Verification:

We recommend that you independently verify any information, pricing suggestions, or business recommendations generated by our AI before acting on them.

17. Proposals Feature

RoseCore provides tools for creating, sending, and managing client proposals. By using the Proposals feature, you agree to the following:

RoseCore is a Tool, Not a Party:

RoseCore provides software tools to help you create and send proposals to your clients. RoseCore is not a party to any proposal, contract, or agreement between you and your clients. All business relationships, obligations, and disputes arising from proposals are solely between you and your clients.

Your Responsibility for Proposal Accuracy:

You are solely responsible for reviewing and verifying the accuracy of all pricing, scope of work, terms, dates, and other content within your proposals before sending them to clients. This includes any content generated or assisted by RoseCore's AI features. RoseCore is not liable for errors, omissions, or inaccuracies in your proposals.

Proposal Contracts:

If your proposal includes a contract or signature component, you acknowledge that the enforceability of electronic signatures and proposal terms may vary by jurisdiction. You are responsible for ensuring your proposals comply with applicable laws in your location and your client's location. RoseCore does not provide legal advice and makes no warranties about the legal enforceability of any proposal or contract created through our platform.

Client Data:

You are responsible for obtaining any necessary consent from your clients before collecting their personal information, signatures, or payment details through RoseCore proposals. You must comply with all applicable privacy laws when handling client data entered into or collected through the platform.

18. Payment Processing and Stripe Connect

RoseCore integrates with Stripe, Inc. ("Stripe") to enable you to collect payments from your clients directly through your proposals. By enabling payment collection on proposals, you agree to the following:

Stripe is the Payment Processor:

All payment transactions are processed by Stripe. RoseCore does not process, hold, or have access to your clients' payment card information. Payments flow directly from your clients into your connected Stripe account. RoseCore is not a payment processor, money transmitter, or financial institution.

Stripe Transaction Fees:

Stripe charges fees for each payment transaction processed through your connected account. These fees are determined by Stripe and are subject to change. Standard fees currently include:

• Standard card processing fees (approximately 2.9% + $0.30 per successful charge for US cards; rates may vary by country and card type)
• Instant payout fees (approximately 1% of the payout amount, subject to Stripe's current rate)
• Additional fees may apply for international cards, currency conversion, or other transaction types

These fees are charged by Stripe directly from transaction proceeds and are not set or controlled by RoseCore. You agree to review Stripe's current pricing at stripe.com before enabling payment collection.

RoseCore Platform Fee:

RoseCore may charge a platform fee on payments processed through the Proposals feature. Any applicable platform fee will be disclosed to you before you enable payment collection on your account. RoseCore reserves the right to introduce, modify, or remove platform fees with reasonable notice.

Payout Timing:

Standard payouts to your bank account are subject to Stripe's payout schedule and policies. First payouts may take additional time to process as required by Stripe's verification procedures. RoseCore does not control payout timing and is not responsible for delays caused by Stripe, your bank, or other financial institutions.

Instant Payouts:

The Instant Payout feature allows eligible users to receive funds faster, subject to Stripe's eligibility criteria and availability. Instant payouts are not guaranteed and may be restricted based on your account history, transaction volume, risk assessment, or other factors determined solely by Stripe. Additional Stripe fees apply for instant payouts.

19. Stripe Connected Account Requirements

To accept payments through RoseCore proposals, you must connect a Stripe account. By doing so, you agree to the following:

Stripe Terms of Service:

You must agree to and comply with the Stripe Connected Account Agreement, Stripe Services Agreement, and all other applicable Stripe terms and policies. These documents are available at stripe.com and govern your relationship with Stripe independently of your relationship with RoseCore.

Identity Verification (KYC):

Stripe is required by law to verify the identity of account holders. You must provide accurate and complete identity information as requested by Stripe during account setup and at any time Stripe requests verification. Failure to complete identity verification may result in payment collection being suspended by Stripe.

Account Restrictions:

Stripe may restrict, suspend, or terminate your account at their discretion, including placing holds on funds, based on their risk assessment, compliance requirements, or violation of their terms. RoseCore has no control over Stripe account restrictions or fund holds and is not liable for any losses resulting from Stripe account actions.

Disconnecting Stripe:

You may disconnect your Stripe account from RoseCore at any time through your account settings. Disconnecting Stripe will disable payment collection on your proposals but will not affect your Stripe account itself or any pending payouts. You remain responsible for settling any outstanding transactions with your clients.

20. Payment Disputes, Chargebacks, and Refunds

Disputes Between You and Your Clients:

RoseCore is not a party to any payment dispute between you and your clients. You are solely responsible for resolving disputes, providing services as described in your proposals, and handling client complaints. RoseCore provides no dispute mediation services and will not intervene in client payment disputes.

Chargebacks:

If a client initiates a chargeback or payment dispute with their card issuer, Stripe's dispute process will apply. You are responsible for responding to chargebacks with appropriate evidence through Stripe's dashboard. Chargeback fees charged by Stripe are your responsibility. RoseCore is not liable for any chargeback losses, fees, or associated consequences.

Client Refunds:

Your refund policy for services provided to your clients is solely your responsibility. RoseCore does not issue or manage refunds for payments made by your clients for your services. Any refunds must be processed directly through your Stripe account. Refunding a transaction does not refund Stripe's original processing fees.

RoseCore Subscription Refunds:

Refund requests for your RoseCore subscription (not client payments) are handled separately under Section 4 of these Terms. Issues with client payments processed through the Proposals feature are governed by this section and Stripe's policies.
